Littleton, Looks Like She's Keeping Her Options Open (Part 2)
On August 8, 2022, Matthew’s wife submitted a “Change of Ownership and Control” application with the Cannabis Control Commission which included this:
The application also included the Option Agreement that Matthew’s wife had entered into with Delta Nine Strategies.
So, it’s safe to say that on August 8, 2022 that the November 3, 2021 Option Agreement—as a legally binding document—was still a legally binding document, one submitted by Matthew’s wife to the commonwealth’s licensing agency seeking permission to change the ownership and control of Littleton Apothecary, LLC from herself to East Coast Cannabis Club, LLC.
And had the option been exercised, Matthew’s wife (and by extension, Matthew) would have come into a half million dollars ($500,000.00) on the first anniversary of the opening of Littleton Apothecary—whose ownership and control would have long before been changed from Matthew’s wife to East Coast Cannabis Club LLC—and on the second anniversary of the Apothecary’s opening, the remaining half million dollars ($500,000.00) would quietly arrive into the Nordhauses’ bank account, long after Littletonians had grown accustomed to the Apothecary being run by these two:
Alas, it seems the O’Hazos are officially done with Matthew’s wife:
I presume Attorney Frank had communicated the above to Matthew’s wife on or about the same time because nine days later, on January 26, 2024, Matthew’s wife wrote this to Littleton’s Planning Board:
(NOTE: MRM Industries, LLC and MR3, LLC are both managed by the same two holding companies KRISHA HOLDINGS LLC and MATEL GROUP LLC.
MRM Industries holds an HCA with the Town of Littleton to manufacture cannabis-infused products in Suites 1 & 2 at 160 Ayer Road.
MR3, LLC owns the building at 160 Ayer Road, Suites 1, 2, 3, and 4.
An independent testing lab, G7, is in Suite 3.
Littleton Apothecary has Suite 4.
Oh, and I’m pretty sure everyone with connections to 160 Ayer Road—MRM/MR3 and G7 and Littleton Apothecary—all use The Mensing Group for local licensing issues here in Littleton.)
As you may recall, on October 16, 2023, I went to 160 Ayer Road and spoke to Miten Patel, one of the Ms in “MRM.” On that day, he told me, “We’ll buy (Littleton Apothecary’s) license if it is available.” Click HERE for that backstory.
Two weeks later, on November 2, 2023, the Option Agreement that Matthew’s wife had with Delta Nine Strategies ran out, having not been exercised during the two-year exercisability time period.
And twenty-five days after the Option expired, MR3 LLC—the entity that had purchased 160 Ayer Road a year earlier for $1,500,000.00 CASH—put the building up as collateral on the $1,100,000.00 MR3 got from Main Street Bank.
In cash.
For what?
Possibly MR3 needs $1,100,000.00 to buy ingredients to make gummies.
It’s also possible Matthew’s wife is keeping her options open.
